VeloDB Contracting Entities
Last Updated: October 28, 2026
This page is the regional contracting table referenced in Section 18.11 of the VeloDB General Terms and Conditions. It identifies the VeloDB entity that contracts with Customer, and the default governing law and dispute forum for the Agreement, based on where Customer is located. Capitalized terms not defined on this page have the meanings given in the Agreement.
How the contracting entity is determined
- Order Form first. If the applicable Order Form, online checkout flow, marketplace order, or other approved ordering record identifies a VeloDB contracting entity, governing law, or dispute forum, that record controls.
- Otherwise, Customer location. If no entity is identified, the VeloDB contracting entity, governing law, and dispute forum are those in the table below for the country of Customer's principal place of business, as stated in the Order Form or Customer's account records.
- Marketplace orders. For orders placed through a cloud marketplace, the VeloDB entity named as the seller in the marketplace listing or private offer is the contracting entity.

Data protection terms are not affected
The governing law and dispute forum above apply to the Agreement. They do not change the law and forum that European Data Protection Laws require for the Standard Contractual Clauses. Under the Data Processing Addendum:
| Transfers subject to | Transfer mechanism | Governing law and forum of the clauses |
|---|---|---|
| EU GDPR | EU Standard Contractual Clauses (Modules Two and Three) | Laws and courts of Ireland |
| UK GDPR | EU Standard Contractual Clauses with the UK Addendum | Laws and courts of England and Wales, as provided in the UK Addendum |
| Swiss FADP | EU Standard Contractual Clauses with Swiss modifications | Laws and courts of Switzerland |
The Standard Contractual Clauses apply to every Restricted Transfer, whichever VeloDB entity is the contracting entity. Transfers to VeloDB Technology International Pte. Ltd. in Singapore always rely on the Standard Contractual Clauses. VeloDB Inc. also participates in the EU-U.S. Data Privacy Framework, the UK Extension, and the Swiss-U.S. Data Privacy Framework as an additional safeguard. While that certification is in effect, the Data Privacy Framework applies to the transfers to VeloDB Inc. that it covers. If the certification lapses or the Data Privacy Framework is invalidated, the Standard Contractual Clauses apply to those transfers automatically. Data Subjects keep their rights as third-party beneficiaries under the Standard Contractual Clauses, including the right to bring proceedings in their country of habitual residence.
