Customer License Agreement

This Customer License Agreement is entered into between VeloDB Inc. (hereinafter referred to as "VeloDB," "we," "our," or "us") and the users of the VeloDB products (hereinafter referred to as the "user," "you," or "your").

For the purpose of this Agreement, "Products" means the VeloDB software provided by VeloDB under this Agreement, together with any updates, bug fixes, and product documentation provided by VeloDB.

You acknowledge that, before you begin using the Products, you have fully read, understood, and accepted all terms of this Agreement. By clicking "Agree" or otherwise beginning to use the Products, you agree to be bound by all terms of this Agreement. This Agreement will then become legally binding on both you and VeloDB. If you do not agree to, or do not satisfy, the foregoing conditions, you must immediately terminate your purchase of, or stop using, the Products.

VeloDB may unilaterally modify the Products and this Agreement from time to time in accordance with applicable laws, regulations, and company policies. Any such changes will be announced on the VeloDB website. By continuing to use the Products after any updated Agreement has been announced, you will be deemed to have fully read, understood, and accepted the modified terms and to agree to use the Products in accordance with the modified Agreement. If you do not agree to the modified terms, you must stop using the Products.

License Rights and Limitations

VeloDB grants you a limited, non-exclusive, and non-transferable license to use and reproduce the Products within your internal environment for evaluation and development purposes. Without purchasing an enterprise subscription service, you may not use the Products for any other purpose, including quality assurance or production use. The free evaluation and development license is provided on an "as is" basis without any warranty.

Your license is subject to the following conditions:

  • You shall not remove any proprietary notices or markings of VeloDB or the licensor from the Products or documentation.
  • You shall not modify, reverse engineer, decompile, or attempt to extract the source code of the Products.
  • You shall not use the Products for any illegal purpose or in violation of any applicable law or regulation.

Enterprise License Requirements

  • The VeloDB Enterprise version may be installed, run, and used only after you lawfully obtain a valid .license file. Any unauthorized acquisition, copying, transfer, lending, leasing, or circumvention of the technical license restrictions constitutes a violation of this Agreement.
  • The validity of the Enterprise License is subject to the following two dimensions:
    • Time Limitation. Enterprise features may be used only during the validity period stated in the License.
    • Node Count Limitation. You may use only the number of Backend nodes permitted by the License in the cluster. If you exceed the licensed quantity, you are not entitled to continue scaling out the cluster or otherwise bypass the node limit.

Restrictions After Expiration or Invalidity

  • Manager. If the License expires, becomes invalid, is revoked, or is used beyond the authorized scope, the Manager may no longer be used.
  • Core. The deployed core services may continue to run so that License expiration does not directly affect your production business. However, from the time the License expires, becomes invalid, is revoked, or is used beyond the authorized scope, you may not add new nodes, expand the cluster, or perform any operation that requires additional licensed capacity.
  • You acknowledge and agree that continued use of the Enterprise version after the License expires is not compliant with this Agreement or the applicable commercial authorization arrangements. If you do not renew the License, you should proactively migrate your production workloads and decommission the relevant cluster upon License expiration.

Intellectual Property Rights

  • All intellectual property rights in VeloDB, including but not limited to copyrights, patent rights, and trademark rights, are owned by the licensor.
  • This Agreement does not grant the user any intellectual property rights.

Disclaimer

  • The Products are provided without any representation, warranty, covenant, or condition of any kind.
  • The licensor makes no warranty regarding the suitability, merchantability, accuracy, reliability, or any other aspect of the Products.
  • To the maximum extent permitted by applicable law, under no circumstances shall the licensor be liable for any direct, indirect, incidental, special, or consequential damages arising from the Products.

Miscellaneous

  • This Agreement constitutes the entire agreement between the licensor and the user with respect to the use of the Products and supersedes any prior oral or written agreements.
  • This Agreement shall be governed by the laws of Singapore in terms of interpretation, validity, and performance.
